Decisions In Distress: How Directors and Officers Can Navigate Their Duties In Challenging Times
Directors and officers of corporations in financial distress must make difficult decisions. Unfortunately, as the solvency of the corporation declines, the challenges inherent in these decisions, and the potential risk of personal liability to directors and officers, increase. Before the corporation enters the zone of insolvency, officers and boards need to be prepared to meet their shifting fiduciary duties under the intense scrutiny of stockholders, creditors and other constituents. This interactive session will focus on the duties of directors and officers of Minnesota and Delaware corporations, the points at which these duties shift or expand, and how to mitigate the risk of breach of fiduciary duties in both day-to-day operations and decisions about strategic transactions.
