How the New Tax Laws Impact M&A Market

Jamie is a partner in the Jacksonville office of Dixon Hughes Goodman, LLP with over 20 years of experience.  He focuses on tax consulting and compliance work for mid-sized to large organizations operating primarily in the construction and real estate industries.  Jamie has significant experience in partnership and corporate taxation, multi-state tax filings, mergers and acquisitions, deferred exchanges, debt forgiveness exclusions, tax controversy representation, estate planning, succession planning and accounting methods.  Jamie represents the Jacksonville office as the Real Estate Hub Leader for the firms' Construction and Real Estate Industry Group.

Don  (D.B.A., ASA, CVA, CPA/ABV, CEPA) is president and a principal of Heritage Capital Group, Inc., a middle market investment banking firm headquartered in Jacksonville, Florida. His primary focus is on merger and acquisition transactions in the U.S. and abroad, as well as conducting valuation, strategic planning, and value enhancement analysis for clients.

Brent Paris joined Dubin Clark in 2001 and has completed more than 40 middle market transactions.  At Dubin Clark, Brent focuses on sourcing, financing, executing and overseeing platform and add-on acquisitions.   Prior to Dubin Clark, Brent was an Associate for investment banking firm Latek Capital Corp and, during business school, worked as an Analyst with money-management firms Waveland Capital Management and Brinson Partners. Brent served as an Accounting Manager for money-management firm Grosvenor Capital Management and as a Senior Tax Accountant for public accounting firm Altschuler, Melvoin & Glasser LLP.

Robert S. Bernstein is a partner with Foley & Lardner LLP and is a member of the firm's Taxation and Estates & Trusts Practices, and the Business Law Department. Mr. Bernstein's practice focuses on corporate, partnership, real estate and international taxation, corporate law, employee benefits, trusts and estates, tax controversy, and tax, valuation and fiduciary litigation matters. He is a member of the Board of Contributing Editors and Advisors, The Journal of Corporate Taxation and writes its Instruments, Techniques and Transactions column. Mr. Bernstein is the author of numerous articles in a variety of tax publications concerning the tax aspects of corporate financial transactions and financial products.

Bill Prescott is a principal with Heritage Capital Group. Prior to joining Heritage, Bill was the Chief Financial Officer and Senior Vice President of Stadium Operations for the Jacksonville Jaguars NFL franchise, and provided financial and operational leadership to the executive team since its inception in 1993.  He was responsible for managing all aspects of the financial operations of the Jaguars and EverBank Field venue management.  Most recently, Bill led the negotiation and due diligence for the sale of the Jacksonville Jaguars to its new owner, Mr. Shad Kahn in 2012.  As part of the change in ownership he initiated a rebranding of the Jaguars for the 2012 season, and secured the Jaguars participation in the International Game Series for four years starting with the 2012 season. Bill enjoys serving his community and is a strong advocate for the revitalization of downtown Jacksonville.  He holds a position on the advisory board of Jax2025 and One Spark, Inc.  He is the chair-elect of Visit Jacksonville, an executive board member of Downtown Vision, Inc., and a founding member of the Jacksonville Downtown Marketing Collaborative.
