ACG San Diego’s October program focuses on minority deals in the lower middle-market. This DealStory involves MediaLab’s journey to negotiate a minority investment that included a strategic acquisition coupled with an accretive solution to the company’s owner.

Given the ongoing uncertainty related to the pandemic, access to creative capital is more critical than ever. Owners that were pursuing a transaction may be faced with multiple challenges: business disruption, existing capital partners who are unable or unwilling to be flexible, valuation changes or potentially all of the above. Knowledge of the market and the types of capital providers available are key to structuring the right deal for the business owner that wants to maintain control.

We have assembled a panel of the key individuals who recently completed a minority deal for the owner of MediaLab. Key discussion topics they will discuss during this hour-long session include the following:

  • Minority deals – why and when to consider them
  • MediaLab case study, including a background of the transaction, structuring a less dilutive security than equity, and the decision to take on a minority partner

Jim Goldfarb co-founded Broadstream in 2001 and is the firm's Managing Partner. Broadstream is a merchant bank, acquiring and advising companies in the lower middle market. Immediately prior to Broadstream, Jim was the Vice President of Corporate Development at MP3.com. Previously, Jim was a Principal at Knowledge Universe, a private investment firm backed by the Milken family and Larry Ellison which focused on acquisitions of education and training companies. Prior to Knowledge Universe, Jim was an associate at Bain Capital. Jim began his career as an analyst at McKinsey & Company. Jim graduated Magna Cum Laude from Duke University. In his four years at Duke, he did not miss a single home basketball game. Jim serves as Chairman of the Board of both Film Solutions, LLC, and RealDefense, LLC. Jim and his wife and two daughters live in the Los Angeles area.

Michael H. Jones joined Corbel Capital Partners in 2014 and serves as a Principal and transaction lead. At Corbel, Michael currently serves as a board observer or member of RealDefense, Northwest Medical / Great Elm DME, Upstrem, Noble Roman’s, MediaLab, and The Inception Company. Michael previously served as a board observer or member of Antares Audio Technologies and Jariet Technologies. Prior to Corbel, Michael was an M&A investment banker at Morgan Stanley in New York and Los Angeles, where he executed and closed over $20 billion in M&A transactions across the technology, healthcare and consumer industries. Prior to Morgan Stanley, Michael worked in the Executive Office of Secretary General Kofi Annan at United Nations headquarters in New York, first as a John Gardner Fellow and later as Special Advisor for Counter Terrorism. While at the United Nations, Michael helped author the first Global Counter Terrorism Strategy, which was adopted unanimously by all 192 Member States of the General Assembly in 2006. Michael earned his M.B.A. from Harvard Business School and his B.A. in Economics with Highest Honors from the University of California at Berkeley, where he graduated summa cum laude, a Regents’ Scholar, a California Leadership Fellow, and Phi Beta Kappa.

K. Michelle Rogers joined Corbel Capital Partners in 2019 and serves as a Vice President of Business Development. Michelle is responsible for managing the firm’s originations and marketing activities. Prior to Corbel, Michelle spent over five years at OFS Capital Management in Los Angeles where she focused on originating and evaluating lower middle-market direct lending and minority equity transactions. Prior to OFS, Michelle worked at Bainbridge Capital where she was responsible for originating proprietary investment opportunities. Michelle earned her B.A. in Business Administration from the University of San Diego.
